Hogan has a broad practice in the areas of real estate, corporate and securities, commercial financing, mergers and acquisitions, and New Markets Tax Credits.  he has over a decade of experience in representing individuals and businesses in the purchase and sale of real estate, lease transactions, zoning and development issues, title issues, restrictive covenants and other real estate matters; advising closely-held businesses in the acquisition and sale of businesses; representing local and out-of-state lenders in financing transactions; and assisting clients in compliance with state blue sky laws in connection with private placements of securities.

In addition, Hogan serves a number of clients as “outside” general counsel, advising on day to day issues and general corporate matters, such as financing issues, corporate structure and governance, transactional matters, and contract drafting and negotiation.  Hogan’s creativity and attention to detail benefit her clients in drafting and negotiating all types of commercial contracts, such as sales representative and distributor agreements, commercial purchase orders, customer rebate agreements, equipment lease and purchase agreements, vendor services agreements, consulting agreements, physician employment agreements, no-competes, and independent contractor agreements.

Hogan’s experience includes:

  • Representation of poultry processing client as borrower in $68,000,000 term and revolving credit facility, secured by commercial properties in multiple counties 
  • Representation of state bank in construction loan to developer of low income housing apartments 
  • Representation of seller of multi-acre commercial property to developer for commercial use
  • Representation of multiple related sellers in sale of 2,300 acre farm in Arkansas valued at $10,500,000
  • Representation of venture capital fund in formation and preparation of subscription and private placement materials and compliance with federal and state blue sky laws for capital raise of up to $25,000,000
  • Representation of Community Development Entity in federal and Arkansas new markets tax credits transactions involving loans to qualified active low income community borrower
  • Representation of national bank in financing of two large aircraft loans
  • Serve as counsel to an Arkansas convenience store chain acquiring real estate and negotiating leases with a Fortune 500 fast food restaurant chain
  • Serve as outside general counsel to an Arkansas headquartered company providing helf edge solutions to the retail industry
  • Representation of sellers in sale of Western apparel retail chain
  • Representation of an out-of-state corporation in an almost $30,000,000 acquisition of an Arkansas corporation, involving real estate and other personal property assets, seller financing, and environmental matters
  • Representation of an Arkansas private equity firm in the multi-million dollar acquisition of an out-of-state construction services business
  • Representation of physician's practice in the purchase of another related practice with seller financing and no compete covenant
